Terms of Service
These Terms of Service ("Terms") govern your access to and use of Koncept Audio's website, software (including the PRISM plugin), and related services (collectively, the "Services"), operated by Koncept Audio Inc., a Canadian corporation based in Toronto, Ontario ("Koncept Audio," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you don't agree, don't use the Services.
1. Accounts
You must provide a valid email address to create an account. You are responsible for activity under your account. Accounts are personal and non-transferable.
2. License Grant
Upon purchase, Koncept Audio grants you a non-exclusive, non-transferable, revocable license to install and use PRISM on up to two (2) devices that you own or control, for your own personal or commercial music production work. See our End User License Agreement for the complete terms.
3. Free Trial
The 14-day free trial provides full feature access without requiring payment information. At the end of the trial period, audio processing stops until you purchase a license. Trials are offered once per user.
4. Purchases, Pricing, and Refunds
- All prices are in USD and exclude applicable taxes.
- Purchases are processed by Stripe. We don't store payment card details.
- We offer a 7-day money-back guarantee from the date of purchase. Email support@konceptaudio.com within seven days and we'll refund you, no questions asked.
- After the 7-day window, all sales are final.
- Refund requests may be denied in cases of suspected fraud or abuse.
5. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or disassemble the Services except as allowed by applicable law;
- Circumvent or attempt to circumvent any licensing, authentication, or technical measures;
- Redistribute, resell, or sublicense PRISM or any part of it;
- Use the Services for unlawful purposes or to infringe others' rights.
6. Intellectual Property
All rights in and to the Services, including PRISM, its code, presets, artwork, and documentation, are and remain the exclusive property of Koncept Audio and its licensors. Music you create using PRISM is yours.
7. Updates and Changes
We may release updates to PRISM (bug fixes, features, compatibility). All v1.x updates are included free with your license. Major version upgrades (v2, v3, etc.) may be offered at a discounted upgrade price to existing customers.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available"without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or meet your requirements.
9. Limitation of Liability
To the maximum extent permitted by law, Koncept Audio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services. Our aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
We may suspend or terminate access for violations of these Terms. Upon termination, your right to use the Services ends, but provisions that by nature survive (e.g., intellectual property, limitation of liability) will remain in effect.
11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any dispute will be resolved in the courts of Toronto, Ontario.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be announced via email or on the Services. Continued use after changes means you accept the new terms.
