End User License Agreement
This End User License Agreement ("EULA") is a legal agreement between you and Koncept Audio Inc. ("Koncept Audio") for the PRISM software, including associated media, presets, printed materials, and online documentation (the "Software"). By installing, copying, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
1. License Grant
Koncept Audio grants you a personal, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Software on up to two (2) devices that you own or personally control, for your own music production work, whether personal or commercial.
2. What You May Do
- Use PRISM on up to two (2) devices concurrently.
- Use PRISM to produce music for personal or commercial release.
- Make one archival copy of the installer for backup.
- Transfer the license to a new device by deactivating an old one from your account dashboard.
3. What You May Not Do
- Copy, distribute, sublicense, lease, rent, or sell the Software;
- Reverse-engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law;
- Circumvent the license enforcement, activation, or copy-protection systems;
- Use the Software to build a competing product;
- Remove or alter proprietary notices, labels, or marks on the Software.
4. Activation and Online Check-Ins
PRISM requires an internet connection for initial activation and periodic authorization checks (typically every 24 hours). Between check-ins, PRISM continues to function offline for an extended grace period. If the Software cannot verify your license for an extended period, audio processing may be suspended.
5. Trial Use
If you install PRISM under a 14-day free trial, this EULA applies during the trial period. At the end of the trial, audio processing ceases and you must purchase a license to continue. Trials may not be extended except at Koncept Audio's sole discretion.
6. Presets and Content
Factory presets shipped with the Software are licensed to you, not sold. You may use them freely in your productions. You may not extract, repackage, or redistribute presets as your own product.
7. Ownership of Output
Music, audio, or other creative works you produce using PRISM are entirely yours. Koncept Audio claims no ownership or rights over your output, regardless of whether you use factory presets or user-created settings.
8. Updates
Koncept Audio may release updates to PRISM. Updates are covered by this EULA unless accompanied by a new agreement. All v1.x updates are included in your license. Major version upgrades may require a separate purchase.
9. Termination
This EULA terminates automatically if you fail to comply with its terms. Upon termination, you must uninstall all copies of the Software. Koncept Audio may revoke licenses in cases of chargeback, fraud, or material breach.
10. Disclaimer and Limitation of Liability
The Software is provided "as is", without warranty of any kind. Koncept Audio's aggregate liability to you for any claim arising from or relating to the Software shall not exceed the amount you paid for the Software.
11. Export
You agree to comply with all applicable export laws and regulations and not to export the Software to countries or persons prohibited by such laws.
12. Governing Law
This EULA is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
13. Entire Agreement
This EULA, together with our Terms of Service, constitutes the entire agreement regarding the Software.
